DIRECT HIRE | $80-100K

IMPRIMIS GROUP has teamed up with a leading hospital in the Chicago area to recruit an experienced Corporate Paralegal. In this role, you will play a vital part in the hospital's legal operations, supporting various corporate legal functions. Key responsibilities include assisting in the preparation of legal documents, managing compliance filings, maintaining corporate records, and conducting legal research. The ideal candidate will possess strong organizational skills, attention to detail, and a solid understanding of corporate law.
Responsibilities:
- Prepare corporate formation documents, including Articles of Organization, Articles of Incorporation, Bylaws, Operating Agreements, Stock Certificates, IRS Forms, and Foreign Qualifications.
- Act as the primary legal liaison for affiliated entities operating in the state of Michigan.
- Manage state and local filings, including financial and business documents.
- Maintain corporate records for clients, including the preparation of annual reports and annual minutes.
- Conduct research on corporate entities, obtain documents from state agencies, and research state and local statutes.
- Assist with transactional tasks such as due diligence, preparing signature packets, closing checklists, and closing binders.
Qualifications:
- Paralegal Certificate required.
- 3-5+ years of experience.
- Proficient in corporate practice with strong analytic and research abilities.
- Exceptional organizational, written, and verbal communication skills.
- Ability to manage projects, prioritize tasks, and maintain attention to detail.
- Capable of meeting multiple deadlines and managing projects across various offices.
- Ability to work independently and collaboratively with clients, outside attorneys, and vendors.
- Proficiency in Microsoft Office Suite.
